registered stock investment & finance definition

A security that has been issued in the name of the owner and recorded as such on the books of the company or company’s agent (the registrar). Unlike negotiable securities, which include bearer bonds and most stock certificates, registered securities can be transferred to another person only if the owner authorizes the transfer. Registered stock also is a security that has had its registration statement filed with the Securities and Exchange Commission (SEC) prior to an initial public offering (IPO). Registered stocks often are issued in unregistered, private sales from the issuer, such as private placement offerings, venture capital deals, employee stock benefit plans, and compensation for professional services. Also called a registered security.
