direct placement investment & finance definition
Selling
securities to professional investors and thereby avoiding registering the issue
with the Securities and Exchange Commission. These securities are sold only to
institutions such as mutual funds, banks, and pension funds or to wealthy
investors. The securities may be for debt, equity, limited partnerships, or
venture capital. Also called private placements.

The sale of a new security issue to a limited number of large buyers rather than to the general public. Direct placement generally involves less expense to the issuer, although the buyer may be able to negotiate a more favorable price.
